Cześć. Dostałem propozycję podpisania kontraktu z jedną z wytwórni rosyjskich na wydanie jednego utworu. Otrzymałem od nich umowę. Niestety mój angielski jest na poziomie podstawowym oraz moje doświadczenie w czytaniu ze zrozumieniem takich umów jest zerowe. W związku z tym prosiłbym o pomoc jakąś dobrą duszyczkę, która podpisywała tego typu umowy i podzieliłaby się informacjami na co przede wszystkim zwracać uwagę przy tego typu dokumentach. Proszę o pomoc. Z góry dzięki.

Cz.1.
.....with registered office Russia, ....... hereinafter referred to as "Licensee" and real artist name (“Licensor”), artist address (hereinafter referred to as "The Licensor"), operating as individual person or as legal representative of the artist, band, group, association or society named artist name.
The Licensor grants to the Licensee and the Licensee accepts an exclusive license to reproduce, present to the public and use, for the period defined the ring tones, videos, images, full tracks, voicemails, ring back tones and more generally any other creative elements relating to The Licensed Products, for their use on or in connection with the Audiotex, online services (free internet or not) and mobile phone services (including but not limited to I-MODE, WAP, GPRS, UMTS, MMS and SMS) hereinafter referred to as "The Services" and developed by the Licensee. The Licensor grants to the Licensee and the Licensee accept the exclusive right to market the Services, solely within the Licensed Territory, during the Term, all as defined in this Agreement in relation to the following tracks:

The Licensor grants to the Licensee a license to use the Licensed Products, which shall be provided by The Licensor for the sole purpose of the Services.
1) Digital reproduction for technical reasons of the Licensed Products for the purpose of its transmission and consultation as part of the Services;
2) Right to authorize the printing of the Licensed Products for use as part of the Services.
3) The Services means ALL WEB-STORES with whom the Licensee has or enters into agreements during the
terms of distribution and exploitation of content to consumers.
cz.3.
LICENSED TERRITORY: The Universe.
TERMS: this Agreement shall be in force from the effective date as referred to above on page 1 and shall expire no later than 3 years after the effective date. On the expiry date and provided that this Agreement has not been terminated by a three (3) months' written notice sent by registered post with acknowledgement of receipt this Agreement shall stay in force by tacit renewal for an indeterminate period. From then on, either party may terminate this Agreement by sending the other party a three (3) months' written notice by registered post with acknowledgement of receipt before each anniversary date of the Agreement. At termination of the contract, the Licensee will be entitled, during a two months period, to continue distributing the Licensed Products subject of a publicity campaign negotiated before the termination.
License Fees: in return for the licensing rights granted by The Licensor to the Licensee under this Agreement, the Licensee shall pay the following to The Licensor as totally inclusive remuneration for the rights granted and licensed to us hereunder fully inclusive of all sums due to all artists ("Artists") performers musicians producers. Mixers, remixers and other participants in the making of the Master Recordings 50% of our Net Receipts directly attributable by title to the sale and exploitation of the Master.
Timing of payment: the Licensee will compute sums due to the Licensor after the end of each calendar quarter during the Term, and will send the Licensor a quarterly statement accompanied with payment in the amount due within thirty (30) days after the end of each such calendar quarter.

Dzięki za szybką odpowiedź. A napisz proszę czy wytwórnia będzie mieć wyłączne prawo do tego kawałka? W sensie, że nie będę mógł go "podpisać" z inną wytwórnia, czy nawet udostępnić go publicznie?

Tak, wytwórnia będzie mieć wyłączne prawa do utworu więc nie możesz utworu nigdzie wysyłać ani uploadować.
